Financial Services Guide

This Financial Services Guide (FSG) is designed to assist you in deciding whether to engage SJS Partners. It outlines our operating framework, how services are authorized and delivered, how we are remunerated, and our dispute resolution protocols.

Certain jurisdiction-specific licensing and dispute-resolution details on this page are subject to final confirmation and may be updated.

1. Purpose and Jurisdictional Application

This Financial Services Guide (FSG) is a statutory document designed to assist you in deciding whether to engage SJS Partners. It outlines our operating framework, how relevant services are authorized and delivered, how we are remunerated, and our dispute resolution protocols.

Services are provided in accordance with the relevant regulatory body, licensing framework, and authorization requirements applicable in the jurisdiction in which those services are delivered.

2. Our Services and Authorizations

SJS Partners operates as a selective advisory and consulting practice. We are authorized to provide the following services, strictly limited to Wholesale, Sophisticated, and Institutional clients:

  • Corporate and Capital Advisory: Strategic structuring of debt and equity instruments, M&A facilitation, and operational capital design.
  • Investment Platform Administration: Architecture and oversight of bespoke investment vehicles, unit trusts, and Variable Capital Companies (VCCs).
  • Deal Structuring: Support in the structuring, coordination, and execution of selected wholesale capital raising and distribution activities, subject to applicable law and licensing arrangements.

3. Client Classification

We do not provide personal financial product advice to retail clients. Any advice provided is strictly general in nature and does not account for your specific personal objectives, financial situation, or individual needs.

4. Remuneration, Fees, and Commissions

Transparency in capital architecture is foundational to our practice. SJS Partners is remunerated through structural and transparent fee models, which may include:

  • Retainer Fees: Fixed-schedule payments for ongoing advisory or platform administration.
  • Structuring or Establishment Fees: Fees levied upon the successful architecture of a fund or capital structure.
  • Execution or Success Fees: Performance or milestone-driven fees realized upon the successful deployment or raising of capital.
  • Administration Fees: Calculated as a percentage of funds under administration (FUA) for platform management.

5. Personnel Remuneration

Our directors, employees, and authorized representatives receive a base salary and may participate in discretionary bonus pools linked to the overall performance of the firm, but they are not directly remunerated via volume-based commissions that would compromise mandate alignment.

6. Management of Conflicts of Interest

Structure precedes strategy, and defined roles mitigate conflict. We maintain a Conflicts of Interest Policy and an internal Conflicts Register. Where SJS Partners acts as both advisor to a transaction and administrator to the ensuing vehicle, structural separation through information barriers and full disclosure are applied to support client primacy.

7. Internal and External Dispute Resolution

Governance defines behaviour. Should our execution fall short of your expectations:

  • Internal Dispute Resolution (IDR): Please submit your grievance in writing to our Compliance Director. We will acknowledge receipt within 24 hours and issue a formal written determination within 30 days.
  • External Dispute Resolution (EDR): If you are an eligible complainant and the matter remains unresolved, you may escalate the dispute to the relevant external dispute resolution body, statutory ombudsman, or equivalent authority in the applicable jurisdiction.
